TERMS OF SERVICE OF THE WEBSITE

1. Introduction

These Terms of Service of the Website (hereinafter - “Terms of Service”, or “Terms”) govern your access to and use of the website operated by the Thai-Ukrainian Chamber of Commerce, licenced by the Chamber of Commerce Registrar in Phuket Province under registration No. 0838568000013, located at No. 147/254, Moo 6, Choeng Thale Sub-district, Thalang District, Phuket Province, 83110 (hereinafter - “TUAC”, “Chamber”, “We”, “Us” or “Our”). References to “You” or “User” mean any person who accesses or uses the Website.
These Terms apply to the website available at https://thaiukraine.org/ (hereinafter - “Website”), including all pages, content, features, and functionality made available through it. By accessing or using the Website, You confirm that You have read, understood and agree to be bound by these Terms. 

Nothing contained in these Terms, and no use of the Website, shall be construed as creating any partnership, joint venture, agency, employment, fiduciary or other similar relationship between you and the Chamber. Your use of the Website or participation in Chamber activities does not grant you any authority to act on behalf of the Chamber or to bind the Chamber in any way.

If You do not agree with these Terms or any of the provisions contained within them, You must refrain from using the Website.

2.  Purpose of the Chamber and the Website

The Chamber is established to promote and support trade, investment, tourism, industry, agriculture, finance, technology, digital innovation, e-commerce, start-ups, modern entrepreneurship and broader economic cooperation between Thailand and Ukraine.
In pursuing its objectives, the Chamber may, among other things, support research and dissemination of information, collect and publish relevant statistics, support the development of its members, provide recommendations and assistance in relation to business activities, facilitate interaction between businesses and public authorities, cooperate with public and private institutions, organise educational, promotional and networking activities, exhibitions and other initiatives, and perform such other lawful functions as may be consistent with its legal status and applicable law.
The Website is made available as an official online information and communication resource of the Chamber and may include information regarding the Chamber’s mission, activities, services, events, publications, initiatives, membership-related matters and other relevant materials or opportunities.

3.  Permitted Use of the Website

Subject to these Terms, the Chamber grants You a limited, non-exclusive, non-transferable and revocable right to access and use the Website solely for lawful, legitimate and intended purposes related to information, communication, membership, events, services and activities of the Chamber.
You may use the Website only in accordance with applicable law and these Terms.
You agree not to:

• use the Website in any manner that is unlawful or inconsistent with applicable Thai law;
• damage, alter, delete, disrupt, impair or interfere with the Website, its Content, its operation or any related system or data;
• use the Website or any electronic communication channel associated with it in a deceptive, misleading, disruptive or abusive manner;
• attempt to gain unauthorised access to the Website, its servers, data, restricted areas or related systems;
• use the Website in any manner that infringes the rights of the Chamber or any third party;
• upload, transmit or otherwise introduce any virus, malware or other harmful code or material;
• use the Website in a manner that could damage the reputation, interests or legitimate activities of the Chamber;
• misuse any forms, contact channels, registration functions, member-only areas or other features made available through the Website; 
• engage in any activity that is inconsistent with the intended informational and communication purpose of the Website.

Any use of the Website contrary to these Terms may result in the restriction, suspension or termination of access in accordance with these Terms.

The Website may contain or refer to third-party content, websites, platforms, resources, services, events, products, initiatives or other opportunities that may be of interest to members or other Users.
Any such third-party content, links or references are provided for general convenience and informational purposes only. They do not constitute endorsement, approval, recommendation or adoption by the Chamber of any third-party organisation, views, statements, products, services or activities.
The Chamber does not control and assumes no responsibility or liability, whether direct or indirect, for the availability, content, legality, accuracy, quality, performance, security or provision of any third-party content, website, resource, service, product or opportunity.
Where the Website provides access to, or information about, any third-party services, products, events or opportunities, such offerings shall be subject to the terms, conditions and policies of the relevant third party.

5. Intellectual Property and Use of Content

Unless otherwise indicated, the Website and all materials available on or through the Website, including but not limited to text, documents, publications, photographs, images, graphics, logos, trademarks, design elements, layout, audio, video, and other content (hereinafter - “Content”), are owned by or licensed to the Chamber and are protected by applicable copyright, trademark, and other intellectual property laws.

All intellectual property rights in the Content are either owned by the Chamber or licensed to the Chamber by the respective rights holders for use on the Website.

The Website may also contain trademarks, service marks, logos, and trade names of the Chamber or third parties. All such trademarks and logos are the property of their respective owners and may not be used without prior written permission.

You may access the Website and view the Content and may print or download limited portions of the Content solely for your personal, non-commercial, and informational use, provided that you:

• do not modify the Content;
• do not remove or alter any copyright, trademark, or other proprietary notices;
• do not use the Content for commercial purposes;
• retain all intellectual property notices in any copies made.

• Such links must be made in a lawful, fair, and non-misleading manner and must not damage, dilute, or otherwise negatively affect the reputation, goodwill, or image of the Chamber.
• The links must not suggest or imply any endorsement, sponsorship, partnership, affiliation, approval, or association with the Chamber where none exists.
• The Chamber’s name, logo, trademarks, or other intellectual property must not be used in connection with any link without the Chamber’s prior written consent.
• You must not create frames, mirrors, overlays, or otherwise alter the visual presentation or appearance of the Website or its content when linking to the Website.
• Links must not be used for the promotion of any organisation, company, product, service, or commercial activity in a manner that implies cooperation or endorsement by the Chamber.
• Direct links to downloadable documents (including PDF files or other documents hosted on the Website) are not permitted. Links should instead be made to the webpage where the document is located.
• You are responsible for ensuring that any link to the Website functions properly and complies with these Terms.

The Chamber reserves the right to request the removal of any link to the Website at its sole discretion, and you agree to remove such link promptly upon request.

If You believe that any Content made available on the Website infringes Your copyright, please notify the Chamber in writing using the contact details provided on the Website. Your notice should include sufficient information to identify the copyrighted work, the allegedly infringing material, its location on the Website, Your contact details, a good faith statement that the use is unauthorised, a statement confirming the accuracy of the notice and Your authority to act, and Your physical or electronic signature. The Chamber may review such notice and take such action as it considers appropriate.

5.1. Use of the Chamber Name and Logo by Members and Sponsors

Current members and sponsors of the Chamber may refer to their membership or sponsorship status and, where appropriate, use the Chamber’s name and logo in their letterheads, business cards, brochures, promotional materials, advertisements, magazines, websites, emails or other materials, whether in printed or electronic form (hereinafter - “Communications”), solely in accordance with these Terms.
A current member or sponsor may state in its Communications that it is a member or sponsor of the Chamber and may use the Chamber’s name and logo for that limited purpose, provided that such use is accurate, lawful and compliant with any requirements or brand guidance issued by the Chamber.
The following or similar wording may be used, as applicable, with or without the Chamber’s logo, unless otherwise directed by the Chamber:

• Member of the Thai-Ukrainian Chamber of Commerce (TUAC);
• Sponsor of the Thai-Ukrainian Chamber of Commerce (TUAC);
• Member of the Thai-Ukrainian Chamber of Commerce (TUAC) since [year]; or
• such other wording as may be approved by the Chamber in writing.

The Chamber’s name and logo must be used only in the form, style, colours and proportions approved or published by the Chamber and must not be altered, distorted, cropped, combined with other marks or used as part of another brand, mark or slogan without the Chamber’s prior written approval.
The use of the Chamber’s name, logo and any reference to membership or sponsorship status must always be accurate, dignified and in good taste and must not be misleading or presented in any manner that may harm the good name, reputation or standing of the Chamber.
In particular, the use of the Chamber’s name or logo must not:

• suggest that the Chamber endorses, certifies, approves, guarantees, has reviewed, or is responsible for any particular product, service, activity, event or statement of the member or sponsor;
• create the impression of any partnership, agency, joint venture or other formal affiliation beyond the relevant membership or sponsorship relationship;
• be used in any unlawful, deceptive, offensive or otherwise inappropriate context; or
• be used in a manner that misrepresents the member’s or sponsor’s current status with the Chamber.

The right to use the Chamber’s name, logo and any indication of membership or sponsorship status shall cease automatically when the relevant person or entity ceases to be a current member or sponsor of the Chamber, as applicable. Upon such cessation, the former member or sponsor must promptly discontinue such use and remove or cease issuing any new Communications bearing the Chamber’s name or logo or referring to such status.
The Chamber may require any member or sponsor to correct, suspend or discontinue any use of the Chamber’s name or logo that does not comply with this section or that, in the Chamber’s reasonable opinion, may mislead third parties or adversely affect the Chamber’s reputation.
Any use of the Chamber’s name or logo in a manner not expressly permitted by this section shall require the Chamber’s prior written approval. Requests for permission to use the Chamber’s name or logo should be directed to the Chamber using the contact details published on the Website.

6. User Communications and Submitted Materials

Where the Website enables You to submit enquiries, applications, registrations, feedback, documents, requests, bookings or other information or materials, You agree that any such submissions made by You shall be accurate, lawful and not misleading.
You must not submit, upload, transmit or otherwise make available through the Website any material that:

• infringes the intellectual property or other rights of any person;
• is unlawful, defamatory, abusive, obscene, offensive or otherwise inappropriate; or
• contains viruses, malware or other harmful components.

The Chamber may communicate with You electronically and may review, process, rely on and retain any enquiries, applications, registrations, feedback or other submitted materials for the purpose of responding to Your request, administering the relevant service, event, programme or membership-related matter, maintaining internal records, operating the Website and complying with applicable law and the Chamber’s internal policies.
To the extent permitted by applicable law, electronic records, submissions, confirmations, acknowledgements and other communications generated or made through the Website may be used as evidence of the relevant communications, submissions, requests or related actions.
Where any part of the Website operates through automated processes or automated response systems, You acknowledge that actions taken through such systems may give rise to valid and binding communications or transactions in accordance with applicable law.
If the Website provides a specific mechanism for reviewing, correcting or withdrawing information before final submission, You are responsible for using such mechanism carefully before completing the relevant submission or request.
The Chamber reserves the right to reject, remove, disregard or decline to process any submitted material that, in its reasonable opinion, violates these Terms, applicable law or the legitimate interests of the Chamber or other Users.

8. Membership and Events Disclaimer

Membership in the Chamber, participation in Chamber events, programmes, networking activities or other initiatives does not constitute endorsement, certification, approval or recommendation by the Chamber of any member, sponsor, partner, organisation, product or service.

The Chamber acts primarily as a platform for information sharing, networking, cooperation and business support. The Chamber shall not be responsible for the actions, services, products, representations or conduct of any members, sponsors, partners, event organisers or participants.

Any agreements, transactions, cooperation or business relationships entered into between members, sponsors, partners or other participants as a result of Chamber activities or Website use are solely between the relevant parties, and the Chamber shall not be liable for any loss, damage, dispute or claim arising from such arrangements.

9. Assignment

You may not assign, transfer, delegate or otherwise dispose of any of your rights or obligations under these Terms without the prior written consent of the Chamber.

The Chamber may assign, transfer or delegate its rights and obligations under these Terms to any successor organisation, affiliated entity or service provider where reasonably necessary for organisational, operational or legal purposes.

10. Disclaimer and Limitation of Liability

The Website is intended to provide information of a general nature. Such information is provided for general informational purposes only and is not intended to address the specific circumstances of any particular individual or entity.
Nothing made available on or through the Website constitutes legal, business, investment, tax or other professional advice. You should not rely on the Website or any Content as a substitute for independent professional advice appropriate to Your particular circumstances.
The Chamber seeks to ensure that information made available on the Website is useful, timely and accurate. However, the Chamber does not represent or warrant that any information or Content made available on or through the Website is complete, accurate, reliable, suitable, current or error-free.

13. Changes, Suspension and Termination to the Website

The Chamber may amend, update, modify, suspend, withdraw or discontinue all or any part of the Website, its Content, features or functionality at any time, with or without notice, where the Chamber considers this reasonably necessary for legal, operational, technical, security, administrative or other legitimate reasons.
The Chamber may also restrict, suspend, disable or terminate access to all or any part of the Website, including any member-only or restricted area, where the Chamber reasonably believes that:

• You have breached these Terms;
• such action is necessary to protect the Website, the Chamber or other Users;
• such action is required by law or by a competent authority; or
• such action is necessary for technical, operational, administrative or security reasons.

14. Governing Law and Jurisdiction

This Website is controlled and operated by the Chamber from its registered office at No. 147/254, Moo 6, Choeng Thale Subdistrict, Thalang District, Phuket Province 83110, Thailand. All matters relating to your access to, or use of, the Website shall be governed by and construed in accordance with the laws of Thailand.
Any dispute, claim, legal action or proceeding arising out of or in connection with Your access to, or use of, the Website or these Terms shall be subject to the jurisdiction of the competent court of Phuket, Thailand.

Failure by the TUAC to enforce or exercise any right or provision under these Terms shall not be deemed a waiver of such right or provision. Any waiver must be expressly stated in writing to be effective.

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or competent authority, such provision shall be interpreted and enforced to the fullest extent permitted by law in order to reflect the original intent of the parties, and the remaining provisions of these Terms shall remain valid and enforceable in full force and effect.

We may update or amend these Terms from time to time to reflect changes in legal requirements, TUAC activities, data processing practices, or organisational changes.
